These terms govern your use of GuardFlow, operated by FORGEAI STUDIO LTD (trading as NovaStack) ("we"). By creating an account or using the platform, you agree to these terms.
1. Service
GuardFlow provides cloud-based workforce management for the UK private security industry, including rota planning, clock-in/out, compliance tracking, timesheets and invoicing.
2. Accounts
You must be 18+, provide accurate information, keep credentials secure, and notify us immediately of any unauthorised access. Each user must have their own account; sharing is prohibited.
3. Customer responsibilities
- Maintain accurate staff and compliance records.
- Ensure all uploaded content is lawful and that you have rights to share it.
- Verify SIA licences via the official SIA register independently of the platform.
- Comply with the Working Time Regulations 1998 and National Minimum Wage rules.
4. Subscription & payment
Subscription fees are billed monthly or annually in advance. Late payment may result in suspension. All fees are exclusive of VAT.

6. Intellectual property
All software, branding (other than tenant branding you upload), and documentation are owned by FORGEAI STUDIO LTD (trading as NovaStack). You retain ownership of data you upload; you grant us a licence to host and process it for the purpose of providing the service.
7. Liability
To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential or special damages, or for loss of profit, business or data.
8. Termination
Either party may terminate on 30 days' notice. We may suspend immediately for breach. On termination you may export your data within 30 days, after which it will be deleted in line with our retention schedule.
9. Governing law
These terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
